SWYPERSPACE OPERATES A PEER-TO-PEER WEBSITE THAT HELPS PEOPLE DISCOVER AND LIST ITEMS, MAKE CASH OR ITEM-FOR-ITEM OFFERS, PLAN MEETUPS, PURCHASE ELIGIBLE SHIPPING LISTINGS, AND COMMUNICATE ABOUT A POSSIBLE EXCHANGE. SWYPERSPACE IS NOT THE BUYER, SELLER, TRADING PARTY, OWNER, CUSTODIAN, ESCROW AGENT, CARRIER, OR INSURER OF USER ITEMS OR USER-TO-USER TRANSACTIONS.
WHEN AN ELIGIBLE LISTING DISPLAYS SWYPERSPACE CHECKOUT, STRIPE AUTHORIZES THE BUYER'S CARD AND SWYPERSPACE CAPTURES THE PAYMENT ONLY AFTER THE COMPLETION EVENT DISCLOSED IN THAT FLOW. FOR TRACKED SHIPPING, THAT EVENT IS THE CARRIER'S FIRST POSSESSION SCAN. OTHER ITEM PAYMENTS MAY STILL BE MADE DIRECTLY BETWEEN USERS BY CASH AT A MEETUP OR ANOTHER LAWFUL METHOD THEY AGREE TO USE. SWYPERSPACE CHECKOUT IS NOT ESCROW AND DOES NOT GUARANTEE AN ITEM, CARRIER, DELIVERY, REFUND, OR USER PERFORMANCE.
I. ACCEPTING THESE WEBSITE TERMS
These Website Terms and Conditions (the "Terms") are a binding agreement between You and SwyperSpace, Inc., a Delaware corporation ("SwyperSpace," "we," "us," or "our"). "You," "Your," and "User" mean the person or entity that visits, accesses, registers for, or uses the website at swyper.space and its associated web features (collectively, the "Website").
These Terms apply to the Website only. Separate or supplemental terms may apply if You use a SwyperSpace mobile application, purchase a SwyperSpace service, connect a third-party service, or use a feature that presents additional terms before use. The SwyperSpace Privacy Policy is incorporated by reference.
You accept these Terms when You check an acceptance box, create or verify an account, publish a listing, submit or accept an offer, create or join a meetup, use a live item review, or otherwise use the Website after these Terms are made reasonably available. If You use the Website for an entity, You represent that You have authority to bind that entity.
You must be at least eighteen (18) years old, have legal capacity to enter into these Terms, and be legally permitted to use the Website. You are responsible for following all laws that apply to Your listings, offers, communications, payments, trades, meetings, and other activity.
II. WHAT THE WEBSITE DOES
Marketplace Tools
The Website provides tools that may allow Users to browse or search listings; create, edit, share, and remove listings; maintain an inventory or storefront; save or review activity; make, receive, accept, decline, or manage cash, item-for-item, or combined offers; identify possible public meeting locations; create or join meetup invitations; communicate about a listing or exchange; and use a live item review when that option is displayed.
Feature availability may depend on location, account status, verified email, browser or device capability, listing settings, or other criteria shown on the Website. SwyperSpace may add, change, limit, suspend, or discontinue a Website feature. These Terms do not promise any feature that is not actually made available to You.
Peer-to-Peer Role
Users deal directly with one another. SwyperSpace does not own, possess, inspect, test, appraise, authenticate, manufacture, sell, buy, store, transport, or insure listed items. SwyperSpace does not guarantee a User's identity, authority, honesty, reliability, or ability to complete an exchange.
A listing, search result, match, recommendation, offer status, storefront, badge, verified-location label, shipping quote, tracking status, or other Website record is information or a coordination tool. It is not a warranty, endorsement, appraisal, transfer of title, or guarantee that a sale, trade, payment, shipment, delivery, or meetup will occur.
Users keep possession and control of their items until they voluntarily complete a handoff. No item may be left with SwyperSpace or at a public meeting location for storage.
III. LISTINGS, OFFERS, SALES, AND TRADES
Seller and Trade-Creator Responsibilities
If You list or offer an item, You represent that You own it or have full legal authority to sell or trade it. You must provide truthful and reasonably complete information about the item, including its condition, material defects, quantity, photos or video, price or trade preference, and availability. You must promptly update or remove information that is no longer accurate.
You may not list the same item in a way that prevents You from honoring an accepted agreement. You are responsible for confirming that an item may lawfully be offered, transferred, and possessed in every relevant jurisdiction and for obtaining any required license, permit, consent, or disclosure.
Offers and User Agreements
A listing invites interest but does not require either User to complete a transaction. A cash amount shown in a listing or offer records what Users are asking, offering, or discussing unless the Website expressly presents a SwyperSpace checkout. A checkout confirmation identifies whether the payment is authorized, captured, canceled, or refunded; a listing or offer status by itself does not prove that money moved.
When Users accept or otherwise agree to an offer, the agreement about the item, price, trade consideration, payment method, fulfillment, return terms, and other conditions is between those Users. SwyperSpace may record parts of that agreement, facilitate an eligible checkout, create a carrier label, or release a seller payout, but SwyperSpace does not become the buyer, seller, or carrier and does not guarantee performance.
Payment Options and SwyperSpace Checkout
For a listing that does not display SwyperSpace checkout, Users choose whether, when, and how to pay one another, subject to applicable law. Cash paid at the meetup is permitted. Users may instead agree to another lawful payment method outside the Website. Those direct payments are not processed, protected, or refunded by SwyperSpace.
When an eligible listing displays SwyperSpace checkout, Stripe collects the buyer's payment information and places a manual card authorization for the disclosed item, fee, and shipping amount. SwyperSpace does not store complete card numbers. An authorization is a temporary hold, not a completed charge. SwyperSpace captures it only after the applicable Website completion event: dual in-person confirmation for an eligible handoff, or the carrier's first possession scan for tracked shipping. If that event is not confirmed by the stated deadline, SwyperSpace cancels the uncaptured authorization. A bank may take several business days to remove a released hold.
After capture, SwyperSpace may initiate the seller payout through Stripe, less the fees disclosed before checkout. SwyperSpace checkout is not a bank account, deposit, stored-value product, or escrow service. Stripe authorization windows, bank processing, fraud review, disputes, chargebacks, reserves, payout timing, and availability are governed in part by Stripe and the applicable payment network.
If Users choose a third-party payment service, cash-transfer application, bank transfer, check, cash, or another method outside a displayed SwyperSpace checkout, their use of that method is governed by their agreement and the third party's terms. SwyperSpace is not responsible for the availability, reversibility, fees, fraud controls, disputes, chargebacks, or losses associated with that outside method.
SwyperSpace will not ask a buyer or seller by email, message, or phone to send a second item payment, security deposit, gift cards, cryptocurrency, or transfer fee. A legitimate SwyperSpace card authorization occurs only in the checkout shown on swyper.space. A person who directs payment elsewhere while claiming it is required by SwyperSpace is misrepresenting the Website.
Inspection and Handoff
Buyers and trade participants should inspect each item, confirm that the other person has authority to transfer it, and resolve material questions before paying or completing the handoff. Each User decides whether to proceed. A Website confirmation or status does not establish identity, authenticity, condition, title, safety, or lawful ownership.
Unless the Users agree otherwise or applicable law requires a different result, a completed in-person sale or trade is final between the Users after they have had an opportunity to inspect the items and voluntarily complete the handoff.
Returns, Refunds, and User Disputes
For a payment made outside SwyperSpace checkout, a return, price adjustment, repayment, or reversal must be arranged directly between the Users and may also be subject to the rules of the payment method they chose. SwyperSpace cannot refund money it did not process.
For SwyperSpace checkout, canceling an uncaptured authorization releases the hold rather than issuing a conventional refund. After capture, any cancellation, return, refund, dispute, or chargeback is subject to applicable law, these Terms, the Website's refund guidance, the facts of the transaction, and Stripe or payment-network rules. Carrier delays or delivery status alone do not automatically establish that a captured transaction must be refunded. Nothing in these Terms limits a nonwaivable consumer right.
Users may contact Support about suspected account misuse, unlawful content, a documented Website error, or safety concerns. SwyperSpace may review Website records or take account action, but is not required to decide the merits of a user-to-user payment, item, or return dispute or reimburse either User.
Taxes
Users are responsible for determining and paying taxes arising from their own sales, purchases, trades, or other activity, except to the extent SwyperSpace is legally required to collect, report, or remit a tax.
IV. MEETUPS AND LOCATIONS
Meetup Tools
The Website may help Users propose a place and time, share an invitation, compare approximate travel distance, or keep a record of meetup activity. These tools coordinate the Users' plans; they do not create custody, bailment, transportation, security, payment protection, or a guarantee that either person will appear or complete an exchange.
Tracked Shipping
When a seller enables Shipping and supplies an origin address and packed measurements, an eligible buyer may submit a delivery address, review third-party carrier rates returned through EasyPost, and authorize the item price and selected shipping amount through Stripe. The seller receives the purchased label and must tender the correctly packed item to the named carrier in time for the carrier's first possession scan to be reported within forty-eight (48) hours after authorization, or any earlier deadline displayed because the card authorization expires sooner.
A label purchase, drop-box deposit, manifest, tracking number, or pre-transit status is not a possession scan. SwyperSpace relies on carrier data received through EasyPost and may make a final live status check near the deadline. When the first qualifying possession scan is confirmed, SwyperSpace may capture the buyer's authorized payment and initiate the seller payout. If no qualifying scan is confirmed by the deadline, SwyperSpace may cancel the authorization, return the item to the seller's inventory, deactivate the transaction, and request a refund for an eligible unused label. A label refund is controlled by the carrier and EasyPost and is not guaranteed.
The seller is responsible for accurate origin information, measurements, weight, packaging, lawful contents, carrier restrictions, tender, and retaining any carrier receipt. The buyer is responsible for a complete deliverable address and carrier contact information. Neither User may use a label for a different item, address, package, or transaction. Address changes after a quote require a new quote.
EasyPost is a shipping-technology provider, and the selected postal carrier—not SwyperSpace or EasyPost—transports the package. SwyperSpace is not a carrier, freight forwarder, warehouse, bailee, insurer, or guarantor of pickup, transit time, tracking accuracy, loss, damage, misdelivery, or delivery. Carrier terms, prohibited-content rules, claims procedures, insurance limits, and service adjustments also apply. Unless the Website expressly offers separate protection, Users are responsible for pursuing a loss or damage claim with the carrier.
If Users arrange transportation outside the displayed Shipping checkout, they do so outside the Website and at their own risk under the terms they agree with the person or service involved.
Verified Safe Exchange Zones
A "Verified Safe Exchange Zone" is a public location whose information and selected attributes were reviewed under SwyperSpace's process at the stated review time. Verification means only that SwyperSpace reviewed the information then available. Hours, access, lighting, cameras, staffing, parking, rules, and conditions can change without notice.
Unless the Website expressly states otherwise, a Verified Safe Exchange Zone is not owned, operated, staffed, monitored, secured, controlled, or insured by SwyperSpace. The presence of cameras, personnel, law enforcement, or other safety features is not guaranteed in real time. A location label is not a promise that an exchange or person will be safe.
You are responsible for checking current hours and conditions, following posted rules, meeting only where lawful, protecting Your property and personal information, remaining alert, and leaving if a situation feels unsafe. Items must not be left unattended or stored at a meeting location.
User Stations and Other Locations
A User-created Station or other user-selected location is not a Verified Safe Exchange Zone unless the Website expressly identifies it as one. The User who submits or selects a location represents that the information is accurate and that the meeting may lawfully occur there. SwyperSpace may remove or restrict a location that appears unsafe, unlawful, misleading, or unauthorized.
Maps, distances, directions, and travel times are estimates and may omit live traffic, closures, access restrictions, or changed conditions. Do not rely on them for emergency, legal, accessibility, or safety decisions.
V. LIVE ITEM REVIEWS AND COMMUNICATIONS
Live Item Reviews
A live item review is an optional private video feature that lets Users discuss and look at a listed item before deciding whether to meet, buy, or trade. It does not authenticate an item or person, reserve an item, replace an in-person inspection, create a transaction, or guarantee condition, safety, legality, title, or authenticity.
Camera and microphone access begins only after the User chooses to join and approves the browser or device permission. Live media is transmitted to the other participant and processed by the disclosed real-time video provider. SwyperSpace disables Website recording and does not intentionally create or store call audio or video, but cannot prevent another participant from using an external device or tool to capture a call.
Do not record, photograph, screenshot, transcribe, livestream, rebroadcast, or distribute a live item review unless every participant gives clear advance consent and the capture is lawful in every applicable jurisdiction. Do not show or request payment cards, government identification, account credentials, home addresses, access codes, financial information, or other sensitive information.
Live item reviews and Website communications may be used only for lawful marketplace discussion and coordination. No User may display, request, transmit, or facilitate sexual content, exploitation, content involving a minor in a sexual context, illegal activity, threats, harassment, hate, violence, self-harm, fraud, impersonation, dangerous acts, or other unlawful, abusive, obscene, or nonconsensual conduct.
SwyperSpace may end or restrict a communication feature, retain related non-content records as described in the Privacy Policy, investigate a report, restrict an account, or report suspected illegal conduct where permitted or required by law.
VI. WEBSITE CREDITS AND OPTIONAL SWYPERSPACE PURCHASES
Exchange Credits
The Website may use Exchange Credits for an eligible Website action, such as sending certain item-for-item trade offers. The number of credits reserved or used is shown before the action. A reserved credit may be restored if the offer is declined, canceled, or expires before acceptance; it is ordinarily used when the recipient accepts the offer.
Exchange Credits are limited, nontransferable Website entitlements. They are not money, legal tender, property, a bank account, a gift card, a security, a stored-value balance, or consideration paid to another User. They cannot be withdrawn, transferred to another person, redeemed for cash, or used to pay for a listed item.
Where the Website offers Exchange Credit packs for purchase, the displayed checkout provider processes that purchase for SwyperSpace. Purchased credits are separate from buyer-to-seller item checkout and cannot pay an item or shipping charge. Except where applicable law requires otherwise, an Exchange Credit purchase is final after delivery. A refund, reversal, chargeback, store revocation, fraud correction, or duplicate-purchase correction may remove the corresponding credits. If those credits were already used, the account may carry a deficit and be unable to use credit-requiring features until the deficit is resolved.
Promotional credits may be subject to eligibility, expiration, correction, and revocation rules shown when granted. SwyperSpace may correct credits associated with error, duplication, manipulation, fraud, an ineligible action, or a violation of these Terms.
Donations and Other Purchases
If the Website offers a donation or another optional purchase from SwyperSpace, the price, purpose, processor, and applicable refund terms will be disclosed in that flow. Such a payment is to SwyperSpace for the disclosed purpose; it is not item-sale money, escrow for a User, a seller payout, or buyer protection for a marketplace exchange.
VII. PROHIBITED ITEMS AND CONDUCT
Prohibited Items
Users may not list, offer, request, sell, buy, or trade anything unlawful or anything SwyperSpace identifies as prohibited. Prohibited items include illegal drugs and unlawful drug paraphernalia; firearms, ammunition, explosives, fireworks, and other weapons; stolen or counterfeit goods; recalled products that cannot lawfully be transferred; hazardous materials, regulated waste, and unsafe damaged batteries; live animals; human remains, organs, tissue, blood, or bodily fluids; sexually explicit material involving a minor; items that infringe intellectual property rights; and any item whose transfer requires a license or permission the User does not have.
SwyperSpace may remove a listing, preserve relevant records, restrict an account, or report suspected unlawful activity to an appropriate authority.
Prohibited Conduct
You may not use the Website to violate law or another person's rights; impersonate or deceive; misrepresent an item, offer, identity, location, or transaction status; harass, threaten, exploit, or discriminate; manipulate reviews, offers, activity, or Website systems; distribute malware; scrape or access the Website through unauthorized automation; defeat security, verification, rate limits, or access controls; collect another person's information for an unrelated purpose; launder money, evade taxes, or fund illegal activity; or assist anyone in doing so.
You must not present Yourself as SwyperSpace, falsely claim that SwyperSpace requires a user-to-user payment, or use the SwyperSpace name or branding to obtain money, credentials, codes, items, or personal information through deception.
VIII. ACCOUNTS AND SECURITY
You must provide accurate, current account information and keep Your credentials, email sign-in links, one-time codes, devices, and sessions secure. You may not create an account for another person without authorization, share an account in a misleading way, or use an account after it has been suspended or terminated.
SwyperSpace may use automated controls and human review to protect Users and the Website, including authentication checks, device or app-integrity signals where enabled, rate limits, content moderation, duplicate-account indicators, and fraud or abuse signals. These controls may delay, deny, review, or restrict activity, but no control guarantees that a User, listing, message, or exchange is safe or authentic.
You must promptly notify Support of suspected unauthorized account access. SwyperSpace may require re-verification or temporarily restrict activity while reviewing a security concern.
IX. USER CONTENT
"User Content" means listings, descriptions, photos, videos, offers, trade media, location suggestions, messages, reviews, comments, and other material You submit through the Website. You retain ownership of Your User Content.
You grant SwyperSpace a worldwide, royalty-free, non-exclusive, sublicensable, transferable license to host, store, reproduce, display, publish, distribute, resize, format, adapt, and otherwise use Your User Content as reasonably necessary to operate, secure, improve, and promote the Website and the listings or features in which the content appears. This license ends when the content is deleted from active systems, except for reasonable backup, legal, safety, enforcement, and archival retention and content already used in permitted promotional material.
You represent that You have all rights needed to submit the User Content and grant this license; that the content is truthful and not misleading; and that it does not violate law or another person's intellectual property, privacy, publicity, or other rights. SwyperSpace may remove or restrict content that it reasonably believes violates these Terms or law.
If You believe Website content infringes Your copyright, send a notice containing the information required by the Digital Millennium Copyright Act to SwyperSpace, Inc., c/o Legalinc Corporate Services Inc., 131 Continental Dr., Suite 305, Newark, DE 19713, with a copy to privacy@swyperspace.com.
X. THIRD-PARTY SERVICES AND LINKS
The Website may rely on or link to third-party services for hosting, authentication, email, maps, video, analytics, security, content review, optional purchases, or other functions. A third party's products, availability, conduct, privacy practices, and terms are controlled by that third party. SwyperSpace is not responsible for independent third-party services except to the extent required by law.
The Website may show information obtained from public sources or third parties, including location details. SwyperSpace may update or remove that information but does not guarantee that it is complete, current, or error-free.
XI. ACCOUNT RESTRICTION AND TERMINATION
SwyperSpace may warn, limit, suspend, or terminate an account or remove content when it reasonably believes that action is needed to enforce these Terms, protect a User or the public, address fraud or security risk, comply with law, respond to repeated complaints, or protect the Website.
You may stop using the Website at any time. Account closure does not cancel an agreement already made with another User or eliminate obligations that arose before closure. Provisions that by their nature should survive will survive, including provisions concerning payments between Users, disputes, licenses, intellectual property, disclaimers, releases, liability limits, indemnification, and governing law.
XII. USER-TO-USER DISPUTES
Disputes about an item's ownership, condition, authenticity, price, payment, trade consideration, return, meetup, or another User's conduct are between the Users involved. SwyperSpace is not a party to those disputes and has no obligation to mediate, decide, or pay them.
SwyperSpace may choose to help Users communicate, review relevant Website records, or suggest a nonbinding resolution. Doing so does not make SwyperSpace responsible for the transaction or require SwyperSpace to continue helping. Any agreement between Users is binding only on those Users.
XIII. DISCLAIMERS, RELEASE, AND LIMITATION OF LIABILITY
No Warranties
THE WEBSITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWYPERSPACE DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT A PARTICULAR USER, ITEM, LOCATION, MEETUP, PAYMENT, SALE, OR TRADE WILL BE SAFE OR SUCCESSFUL.
User and Marketplace Risks
YOU ACCEPT THE RISKS OF DEALING WITH OTHER USERS, INCLUDING NO-SHOWS, MISREPRESENTATION, DEFECTIVE, UNSAFE, STOLEN, OR COUNTERFEIT ITEMS, PAYMENT LOSS, FRAUD, PROPERTY DAMAGE, THEFT, PERSONAL INJURY, AND FAILED SALES, TRADES, MEETUPS, RETURNS, OR REFUNDS. SWYPERSPACE IS NOT RESPONSIBLE FOR THE ONLINE OR OFFLINE CONDUCT OF A USER, VENUE, PAYMENT PROVIDER, OR OTHER THIRD PARTY.
Release
To the maximum extent permitted by law, You release SwyperSpace and its affiliates, officers, directors, employees, and agents from claims and damages arising from a user-to-user listing, offer, payment, trade, meetup, handoff, return, communication, or dispute. If You are a California resident, You waive California Civil Code section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SWYPERSPACE AND ITS AFFILIATES, LICENSORS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR USE, ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SWYPERSPACE AND THOSE PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO SWYPERSPACE FOR WEBSITE SERVICES DURING THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain exclusions or limits. In those jurisdictions, these provisions apply only to the maximum extent permitted by law and do not limit a right that cannot lawfully be waived.
XIV. INDEMNIFICATION
To the maximum extent permitted by law, You agree to defend, indemnify, and hold harmless SwyperSpace and its affiliates, officers, directors, employees, and agents from third-party claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable attorneys' fees arising from Your User Content; Your listing, offer, sale, trade, payment, meetup, handoff, or other interaction with a User; Your violation of these Terms, law, or another person's rights; or Your fraud, negligence, or willful misconduct.
XV. INTELLECTUAL PROPERTY
SwyperSpace owns the Website, its software, design, content, databases, trademarks, logos, and other intellectual property, excluding User Content and third-party material. Subject to these Terms, SwyperSpace grants You a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website for its intended lawful purpose.
You may not copy, modify, reverse engineer, sell, sublicense, commercially exploit, or use unauthorized automated means to access the Website; remove proprietary notices; or use SwyperSpace branding in a way that suggests sponsorship, endorsement, or authority without written permission.
XVI. GENERAL TERMS
Privacy
The SwyperSpace Privacy Policy explains how the Website collects, uses, discloses, retains, and protects personal information. By using the Website, You acknowledge that You had an opportunity to review it.
Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise. Any separately accepted dispute-resolution or arbitration agreement between You and SwyperSpace applies according to its own terms.
Notices
Legal notices to SwyperSpace must be sent to SwyperSpace, Inc., c/o Legalinc Corporate Services Inc., 131 Continental Dr., Suite 305, Newark, DE 19713, or to privacy@swyperspace.com. SwyperSpace may send notices to the email address associated with Your account, post them on the Website, or use another method permitted by law.
